1. Services Provided

Prime Prints and Hyperbyte Innovations offer comprehensive managed print solutions, including but not limited to:

  • Print device procurement, installation, and setup
  • Ongoing maintenance and support of printers and copiers
  • Managed print software and monitoring
  • Supplies management (e.g., toner, paper)
  • Print volume tracking and reporting
  • Print cost optimization and analysis

Our services are designed to improve print efficiency, reduce costs, and streamline printing operations for businesses of all sizes.

2. Service Agreement

  • By signing a service agreement, you agree to engage Prime Prints or Hyperbyte Innovations to provide managed print services for the duration specified in the agreement.
  • The scope, terms, and conditions of your specific service agreement will supersede these general Terms and Conditions, but both documents will apply concurrently.

3. Pricing and Payment

  • Prime Prints and Hyperbyte Innovations will provide pricing based on your needs assessment, volume requirements, and service level. The pricing may include setup fees, recurring charges, and/or per-page print charges.

4. Responsibilities of the Client

  • Clients must promptly notify us of any issues with their print devices or services, including hardware malfunctions or excessive ink/toner usage.

5. Warranty and Support

  • Prime Prints and Hyperbyte Innovations provide warranty coverage for hardware and services based on the terms of your service agreement. Our warranty covers defects in materials and workmanship but does not cover damages caused by accidents, misuse, or unauthorized repairs.
  • Support is available during business hours, with emergency support options outlined in your service agreement. Response times and service level agreements (SLAs) are specified per contract.

6. Supply Management

  • We will provide toner, ink, and paper supplies as part of your managed print service, in accordance with your service agreement.
  • It is your responsibility to notify us if there are any changes in your print volume, which could impact supply usage.
  • The Client agrees to use only the supplies and consumables recommended by Prime Prints or Hyperbyte Innovations to avoid voiding warranties or causing damage to the devices.

7. Intellectual Property

  • All intellectual property rights, including software, trademarks, and logos, used in connection with the Services remain the property of Prime Prints or Hyperbyte Innovations or their licensors.
  • The Client agrees not to reproduce, reverse engineer, or distribute any software or proprietary materials provided as part of the Service, except as expressly permitted by us.

8. Confidentiality

  • Both parties agree to maintain confidentiality regarding all proprietary information, business data, and print volume data exchanged during the course of the Services. This includes client business operations, pricing, and any confidential information shared.

9. Data Security and Privacy

  • Prime Prints and Hyperbyte Innovations take reasonable precautions to ensure that your data, including print job data and network information, is secure. However, we cannot guarantee that data transmitted over the internet will be 100% secure.

10. Limitation of Liability

  • Prime Prints and Hyperbyte Innovations will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our Services, including but not limited to lost profits, lost data, or business interruptions.
  • Our total liability for any claims arising from our Services will be limited to the total amount paid by the Client for the specific Service in question over the 12-month period preceding the claim.

11. Termination and Cancellation

  • Either party may terminate the service agreement with written notice, in accordance with the terms of the agreement.

12. Force Majeure
